Terms and conditions

These general terms and conditions apply to all offers, quotations and agreements between Mercorin Trade, ul. Powstańców Śląskich 103/1, 01-355 Warsaw, Poland ("Mercorin Trade") and its counterparties, in so far as not expressly deviated from in writing.

1. Offers and quotations

All offers and quotations are non-binding and based on availability at the moment of the offer. Prices are quoted in EUR unless agreed otherwise and are subject to market movements, currency fluctuations and changes in freight rates.

2. Quality and specification

Deliveries comply with the agreed specification and with the general quality standards applicable to fresh fruit and vegetables in the European Union, including applicable marketing standards and phytosanitary requirements. Complaints concerning visible defects must be reported within 24 hours of receipt; other complaints within 48 hours.

3. Delivery and risk

Delivery terms follow the Incoterms® rule agreed per order. The risk of the goods passes to the buyer in accordance with the agreed Incoterms® rule. Delivery periods are indicative unless expressly agreed as firm.

4. Payment

Unless agreed otherwise, payment is due within 30 days of the invoice date. Statutory commercial interest is due on late payment.

5. Force majeure

Neither party is liable for delays or failures caused by circumstances beyond its reasonable control, including harvest failure, plant disease, export restrictions, transport disruption or extreme weather.

6. Applicable law

These terms and conditions are governed by Polish law. Disputes will be submitted to the competent court in Warsaw, Poland.
